Guotai Junan International and SPD Bank Entered into Strategic Framework Cooperation Agreement
Strengthen the Collaboration between Banks and Brokers and
Seize Mutual Development Opportunities

Guotai Junan International Holdings Limited (together with its subsidiaries, as "Guotai Junan International" or "the Company", Stock code: 1788.HK) is pleased to announce that, it has signed the strategic framework cooperation agreement ("Agreement") with Shanghai Pudong Development Bank (SPD Bank) to promote the cooperation between banks and brokers, as well as to meet multifaceted demands of cross-border financial services for mainland individual, corporate and institutional clients, thus consolidating and exploring both customer resources and business foundation.

Dr. Yim Fung, JP, Chairman and CEO of Guotai Junan International, and Mr. Xie Wei, Executive Vice President of SPD Bank attended the ceremony to ink the agreement. Both sides agreed to establish a long-term and stable cooperative relationship with complimentary advantage as well as to carry out effective cooperation in securities and financial industry. Abide by the domestic and international regulation, supervision and internal compliance, both companies will extensively cooperate on areas such as overseas public offering and bond issuance, corporate finance, cross-border mergers and acquisition, asset management, commodities financial services, credit business, brokerage business, custodian business and risk management. Guotai Junan International and SPD Bank pledge to jointly promote the collaboration between the bank and the broker, refer relevant products, professional services and quality clients in priority to each other. Therefore, business growth will be achieved.
