New shareholder structure of EVN AG:

- 51.0% NÖ Landesbeteiligungsholding GmbH

- 28.4% Wiener Stadtwerke GmbH

- 20.6% free float (incl. 1.0% treasury shares)

EVN AG announces that, according to information provided by Wiener Stadtwerke GmbH and EnBW Trust e.V., all requirements to implement the share purchase agreement concluded by these two companies on 5 March 2020, in particular the non-prohibition by the federal competition authority, have now been met and the transaction was closed today. As a result, Wiener Stadtwerke GmbH has acquired 51,000,000 EVN shares from EnBW Trust e.V. and is now the second largest shareholder of EVN AG with a stake of 28.4%.

The remaining shareholder structure of EVN AG is not affected by this transaction: In accordance with federal and provincial constitutional law, the province of Lower Austria is the majority shareholder of EVN AG through NÖ Landesbeteiligungsholding GmbH with a stake of 51.0%. In addition to the treasury shares held by EVN AG, which represent 1.0% of the company's share capital, free float equals 19.6%.
